I think Wilkinson is quite wrong, and if we make no satisfactory arrangement on the subject the winding up of a company limited by guarantee will entail a great deal of trouble with regard to foreign contributories.
I sent the papers to Payne of the Board of Trade to look at, and send you a copy of his letter of January the 18th. His remedy is to my mind too drastic. There are purposes for which companies limited by guarantee are a convenient and reasonable machinery, and the very purposes for which they are most required are concerns from which it would be very difficult to exclude the foreigner. Under these circumstances I have drafted a new Article which
and I think should be added to the Order in Council, which I think will meet the difficulties of the case.
